1. ACCEPTANCE OF TERMS
By accessing or using the services, website, or digital platforms of CM Core Labs LLC, doing business as Codemized (“Codemized”, “we”, “us”, or “our”), you agree to be bound by these Terms and Conditions (“Terms”).
If you do not agree with these Terms, please do not use our website or services.
We reserve the right to update or modify these Terms at any time. Continued use of our website or services after any changes constitutes acceptance of the revised Terms.
2. SERVICES OFFERED
Codemized provides custom software development services, which may include, but are not limited to:
Web and mobile application development
System integrations
Technology consulting and IT support
Software architecture and design
The scope, deliverables, timeline, and pricing of any project or engagement will be defined in a separate written proposal, agreement, or contract between the parties.
3. INTELLECTUAL PROPERTY
Unless expressly stated otherwise in a written agreement:
All content published on this website, and
All materials created by Codemized, including source code, designs, documentation, methodologies, and tools
are the exclusive property of CM Core Labs LLC d/b/a Codemized or its licensors and are protected by applicable intellectual property laws.
You agree not to copy, reproduce, modify, distribute, sublicense, or create derivative works from any content or software developed by Codemized without prior written authorization from CM Core Labs LLC d/b/a Codemized.
4. CLIENT RESPONSIBILITIES
Clients engaging Codemized agree to:
Provide accurate, complete, and timely information required for project execution
Collaborate and respond within reasonable timeframes during the development process
Comply with payment terms as defined in the applicable agreement
Refrain from using our services for unlawful, unethical, or prohibited purposes
5. PAYMENT TERMS
Pricing, payment schedules, and related terms are agreed upon in writing prior to the commencement of any services.
Failure to comply with payment obligations may result in service suspension or other remedies as outlined in the applicable contract or invoice.
6. WARRANTIES AND LIMITATION OF LIABILITY
Codemized makes reasonable efforts to deliver functional and high-quality software solutions. However:
We do not guarantee that any software will be error-free or uninterrupted.
We are not responsible for issues arising from misuse, third-party systems, or lack of proper maintenance.
All services are provided “as is” and “as available,” unless otherwise expressly agreed in writing.
To the maximum extent permitted by law, the total liability of CM Core Labs LLC shall not exceed the amounts paid by the client for the services giving rise to the claim.
7. CONFIDENTIALITY
Codemized agrees to maintain the confidentiality of all non-public information provided by clients and not to disclose such information to third parties except as required by law or with prior written consent.
Clients likewise agree to respect the confidentiality of Codemized’s proprietary information, intellectual property, and business methods.
8. TERMINATION
Either party may terminate a project or engagement in accordance with the terms set forth in the applicable agreement.
In the event of early termination, the client remains responsible for payment of all services performed up to the effective termination date.
9. GOVERNING LAW
These Terms and any agreements entered into with Codemized shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to conflict of law principles.
